Sellers Agreement
This Seller Agreement (“Agreement”) is between you (“Seller”) and Autocultive (“Marketplace”) and governs your use of the Autocultive platform to sell products.
1.Seller Registration and Account
• By registering as a seller, you confirm you are legally authorized to sell products.
• You agree to provide accurate, current, and complete information during registration and keep it updated.
• You are responsible for safeguarding your account credentials and all activities under your account.
2. Product Listings
• You warrant that all product information, including descriptions, pricing, images, and specifications, is truthful, accurate, and complies with applicable laws.
• You agree not to list prohibited items, including illegal, hazardous, counterfeit, or stolen goods.
• You are solely responsible for the content and legality of your listings.
3. Order Fulfillment
• You agree to process orders promptly and ship products within the stated timeframes.
• You are responsible for packaging, shipping, handling, and delivery of products.
• You will provide tracking information to buyers when available.
4. Pricing and Payments
• You set the prices for your products.
• Autocultive may charge fees or commissions as described separately.
• Payments will be processed through our payment system, and you agree to the payout terms.
5. Customer Service, Returns, and Refunds
5.1 Customer Service Obligations
You (the “Seller”) must respond promptly and professionally to all customer-related issues concerning your products, including order fulfillment, shipping delays, and product quality. You are required to respond to any communication from Autocultive (email, phone, or WhatsApp) within 24 hours of receipt. Failure to respond within this timeframe may result in order cancellation, payout delays, or suspension of your seller account.
5.2 Return Eligibility
Returns will be accepted only if:
The product is defective, damaged in transit, or incorrect, and
The buyer initiates a return request by clicking the “Request Refund” button on their order details page within 3 (three) days of delivery, and
The product is unused, uninstalled, and returned with its original packaging, manuals, and accessories intact.
Products returned due to the buyer’s change of mind, incorrect ordering, or after installation/use shall not be eligible for return, except at your discretion. If you voluntarily accept such a return, the buyer shall bear the full cost of return shipping.
5.3 Seller’s Obligation for Reverse Pickup
If a return request is approved by Autocultive:
You will be notified via email, phone, or WhatsApp with the order details and return approval confirmation.
You must arrange and bear the full cost of reverse pickup from the customer’s delivery address to your registered pickup address.
You must initiate the pickup within 24 hours of receiving Autocultive’s notification and ensure that the pickup is completed within 5 (five) business days.
You must update Autocultive (via email, WhatsApp, or phone) once the pickup is scheduled and again when the item has been collected.
Customers must not be asked to ship defective, damaged, or incorrect products themselves.
5.4 Inspection and Refund
Upon receiving the returned product, you must inspect and verify it within 2 (two) business days and inform Autocultive of your confirmation (via email, WhatsApp, or phone).
If the return is valid, Autocultive will initiate a refund to the customer’s original payment method.
Refunds will be processed only after confirmation of product receipt and verification from you.
5.5 No Exchanges
Autocultive does not currently offer product exchanges. Customers who wish to receive a replacement must place a new order after the refund is processed.
5.6 Compliance
You agree to comply with all applicable consumer protection laws and with Autocultive’s return and refund procedures. Failure to arrange pickup in a timely manner, provide updates, or cooperate with Autocultive may result in payout withholding, penalties, or suspension of your seller account.
6. Commission & Fees
•Autocultive charges a standard 5% commission on the product selling price of each successful order placed through the marketplace
•Commission is not charged on shipping charges or applicable taxes.
•In addition to the commission, payment gateway processing fees (approx. 2–3%) will be deducted from the seller’s payout.
•Commission and fees are automatically deducted at the time of payout.
•Autocultive reserves the right to revise commission rates or fees by providing 15 days prior written notice to sellers.
7. Payouts
Seller payouts will be made to the bank account or UPI ID provided by the seller in their vendor dashboard.
Payments will be released on a 7-day rolling cycle only after an order is successfully completed.
An order is considered successfully completed once:
The buyer confirms delivery, and
The 3-day return/refund period has expired without any claim.
From each order, Autocultive will deduct:
5% commission on the product’s selling price (excluding shipping charges and taxes).
Payment gateway fees (approx. 2–3%) charged by the payment provider.
The seller will receive:
The net product price after deductions, plus
The full shipping charge paid by the buyer.
Any discrepancies in commission or payouts must be reported to Autocultive within 7 days of receiving the payout.
8. Compliance with Laws
• You agree to comply with all applicable local, national, and international laws, including tax, import/export, safety, and privacy regulations.
• You indemnify and hold harmless Autocultive from any claims, losses, or damages arising from your failure to comply.
9. Prohibited Activities
• You must not engage in fraudulent, deceptive, or illegal activities.
• You will not infringe on any third party’s intellectual property rights.
• Violations may result in immediate suspension or termination of your account.
10. Intellectual Property
• You grant Autocultive a license to display your product listings and related content on the platform.
• You warrant you have the rights to use all content you upload.
11. Indemnification and Limitation of Liability
• You agree to indemnify and hold Autocultive harmless from all claims, damages, liabilities, costs, or expenses arising out of your products, listings, or breach of this Agreement.
• Autocultive disclaims all liability related to transactions between you and buyers.
12. Termination
• Autocultive may suspend or terminate your seller account at any time for violations of this Agreement or applicable laws.
• You may terminate this Agreement by ceasing to use the platform.
13. Changes to Agreement
• Autocultive may update this Agreement from time to time. Continued use of the platform constitutes acceptance of the updated Agreement.
14. Governing Law and Dispute Resolution
• This Agreement is governed by the laws of Assam.
• Disputes shall be resolved in the courts of Assam.
